Welcome to MyAccountico Limited. These Terms & Conditions (“Terms”) govern the provision of accounting, tax, payroll, and advisory services by MyAccountico Limited
By engaging our services, you agree to be bound by these Terms.

1. Engagement & Services

Scope of Work
The specific services to be provided (including bookkeeping, payroll, tax returns, and year-end accounts) will be outlined in your individual Letter of Engagement or Service Proposal.

Variations
Any additional work requested outside the agreed scope will be subject to additional fees. We will always obtain your approval before commencing such work.

2. Client Obligations & Responsibilities

To enable us to deliver accurate and timely services, you agree to:

  • Provision of Information: Provide complete, accurate, and timely financial records, including bank statements, invoices, and supporting documentation.
  • Accuracy: Ensure all information provided is true and complete. Unless specifically agreed, we do not audit or independently verify the information supplied.
  • Deadlines: Submit required information well in advance of statutory deadlines (e.g., HMRC or Companies House) to avoid penalties or delays.

3. Fees & Payment Terms

  • Pricing Structure: Fees may be charged on a fixed monthly basis, per project, or hourly rate, as agreed in your Letter of Engagement.
  • Payment Terms: Invoices are payable upon receipt or via agreed direct debit arrangements.
  • Late Payments: We reserve the right to charge interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Suspension of Services: We reserve the right to suspend services or withhold submissions if invoices remain unpaid beyond agreed terms.

4. HMRC & Regulatory Compliance

  • Authority to Act: You authorise MyAccountico Limited to act on your behalf with HM Revenue & Customs (HMRC) and Companies House, where applicable.
  • Client Responsibility: You remain legally responsible for the accuracy and completeness of all filings.
  • Penalties: We are not liable for penalties or interest arising from late, incomplete, or inaccurate information provided by you.

5. Confidentiality & Data Protection

  • Confidentiality: Both parties agree to keep all business, financial, and personal information confidential, except where disclosure is required by law.
  • Data Protection: We process personal data in accordance with the UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details.

6. Limitation of Liability

  • Liability Cap: To the fullest extent permitted by law, our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
  • Exclusion of Losses: We are not liable for indirect, consequential, or loss-of-profit damages.

7. Termination

  • Notice Period: Either party may terminate the agreement by providing 45 days’ written notice.
  • Outstanding Fees: All outstanding fees for work completed up to termination must be paid immediately.
  • Transfer of Records: Upon request and subject to full payment, we will transfer records to you or your new advisor.

8. Force Majeure (NEW – IMPORTANT ADDITION)

We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to system failures, cyber incidents, natural disasters, or regulatory changes.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
